Terms of sale.

1. Intended use

All products supplied by PRMX are intended strictly for laboratory research use. They are not drugs, foods, cosmetics, or medical devices, and have not been evaluated or approved by the U.S. Food and Drug Administration. They are not for human or veterinary use, nor for the diagnosis, treatment, cure, or prevention of any disease.

2. Eligibility

Accounts are opened to qualified businesses only. By placing an order, the buyer represents that it is a business entity acquiring materials for laboratory research purposes, that materials will be handled by trained personnel in an appropriate laboratory environment, and that materials will not be resold or supplied for human or veterinary use.

3. Verification

PRMX requires business verification documentation before a first order ships and reserves the right to re-verify accounts annually. PRMX may decline or close any account at its discretion.

4. Pricing and quotations

Pricing is tiered by volume and released on account approval. Quotations are valid for the period stated on the quotation. Prices are subject to change without notice outside of an active quotation.

5. Orders and availability

All orders are subject to availability and acceptance by PRMX. Specifications, lot availability, and presentations are confirmed per order.

6. Payment

Payment terms are established per account at approval. Orders may be held pending payment clearance.

7. Shipment and risk

Title and risk of loss pass to the buyer on dispatch from PRMX warehousing. Delivery estimates are provided in good faith and are not guaranteed against carrier delay.

8. Inspection and claims

The buyer must inspect all shipments on receipt. Claims for shortage, damage, or non-conformance must be submitted in writing within ten business days of delivery.

9. Returns

Due to the nature of the materials, returns are accepted only where PRMX has confirmed a shipping or fulfillment error. Materials that have left the buyer's controlled storage are not eligible for return.

10. Limitation of liability

PRMX provides no warranty beyond conformance of the material to the specification stated on the applicable Certificate of Analysis. PRMX is not liable for any use of the materials outside of controlled laboratory research, or for indirect, incidental, or consequential damages. The buyer assumes full responsibility for handling, storage, and application of all materials supplied.

11. Compliance

The buyer is responsible for compliance with all applicable federal, state, and local laws and regulations governing the acquisition, possession, handling, and disposal of the materials supplied.

12. Governing law

These terms are governed by the laws of the State of California.
